Terms of Use
Read these terms carefully before using Counteraxiom.

1. Acceptance of Terms
By creating an account, accessing, or using Counteraxiom ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Counteraxiom ("we," "us," or "our"). By interacting with Counteraxiom AI, you acknowledge that all AI responses are generated automatically by machine learning models and are not authored, reviewed, endorsed, or verified by human beings at Counteraxiom.
2. Eligibility & Age Requirement
You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service and that they have read and agree to these Terms on your behalf.
By using the Service, you represent and warrant that you meet these eligibility requirements and that you have the legal capacity to enter into this agreement.
3. Description of Service
Counteraxiom is an AI-powered debate and critical-thinking platform that generates counter-arguments, opposing viewpoints, and structured adversarial responses to user inputs. The Service is provided for educational, practice, and critical thinking purposes only.
The platform provides three AI models — Cypher (fast, concise), Veritas (structured depth), and Paradox (academic-grade reasoning) — across three debate modes: Hard, Soft, and Feedback.
Depending on your subscription plan, the Service may include access to some or all of the following features:
- Reasoning Test — structured multiple-choice and live debate challenge to assess critical thinking (Free)
- Interview Prep — high-pressure AI job interview simulation with role-specific questioning (Free: 1 session; Pro+: unlimited)
- Interactive Chat — real-time live debate with AI voice cut-in before you finish your point (Pro+)
- Classroom — personalised AI knowledge assessment with Quiz, Defend Your Work, and Lecture Challenge modes (Pro+)
- Pitch Room — live multi-panelist pitch simulator with 10 panel types, three difficulty levels, deck upload, and post-session debrief (Max)
- Negotiation Trainer — AI-powered negotiation practice simulator across seven scenario types (salary, business deal, freelancer, real estate, vendor, car, and contract), with three difficulty levels, real-time tactic transparency, and a BATNA-aware post-session debrief with performance score and coaching (Max)
- Axiom Voice — speech recognition with filler and hedge word detection, and AI voice output including in Pitch Room and Negotiation Trainer (Free: Lite; Pro+: Full; Max: full including Pitch Room and Negotiation Trainer)
- Progress Dashboard — a personal analytics view showing score history, improvement trends over time, per-feature averages, and weak-area coaching suggestions derived from your completed sessions (available to all plan tiers)
- AI Memory — an opt-in feature (disabled by default) that reads a summary of your prior session history and includes it in the AI's context at the start of each new session, enabling continuity across sessions (available to all plan tiers)
The AI is not human. All responses across all tools are generated by machine learning models via third-party AI providers. Counteraxiom clearly discloses when you are interacting with an AI system. No Counteraxiom employee reviews or edits AI responses in real time.
4. Adversarial AI — Nature of Outputs
Counteraxiom is architecturally designed to argue the opposite position of whatever you present. All AI-generated counter-arguments, rebuttals, and debate responses are intentionally one-sided and adversarial by design. They represent a rhetorical exercise, not a factual assertion, recommendation, or endorsement by Counteraxiom.
AI outputs are not statements of fact. Counter-arguments generated by the platform may be factually incorrect, misleading, exaggerated, or logically unsound — intentionally so, as part of the adversarial debate format. Do not treat any AI-generated output as a factually accurate or authoritative statement about any person, organisation, product, event, or topic.
Inputs concerning real third parties: You must not input information designed to generate defamatory, harassing, or harmful content about identifiable real individuals or organisations. The adversarial AI format does not immunise outputs from applicable defamation, harassment, or tortious interference laws. You are solely responsible for any harm arising from your use of the platform to generate content targeting real third parties.
Morally or ideologically challenging content: Because the Service argues against any position, AI responses may explore extreme, controversial, or morally challenging viewpoints. These responses are generated adversarially and do not reflect the values, ideology, politics, or beliefs of Counteraxiom or its operators.
5. AI Output Disclaimer
AI responses are not professional advice. Nothing generated by Counteraxiom — across any tool or plan — constitutes legal, medical, financial, psychological, therapeutic, investment, tax, or any other form of professional advice. Do not rely on AI outputs for decisions that require professional judgement.
Accuracy is not guaranteed. AI models can produce incorrect, outdated, biased, misleading, fabricated, or internally inconsistent information. Counteraxiom makes no warranties regarding the accuracy, completeness, timeliness, reliability, or fitness for purpose of any AI-generated response.
AI-generated citations: Citations in APA or MLA format generated by the platform are produced by AI models and may contain errors, including fabricated or inaccurate author names, publication titles, journal names, volume numbers, page numbers, dates, or DOIs. All AI-generated citations must be independently verified against primary sources before use in any academic, professional, or published work. The platform makes no warranty as to the accuracy, completeness, or retrievability of any generated citation. You expressly agree not to rely on AI-generated citations without independent verification.
Web search results: When web search is enabled, AI responses may incorporate third-party content retrieved from public web sources. Such content may be subject to copyright, may be inaccurate, or may have changed since retrieval. Counteraxiom makes no representation about the accuracy or copyright status of web-sourced content within AI responses.
Statements about real people, companies, or events: The Service is an adversarial argumentation tool, not a journalistic, biographical, or factual-research product. AI outputs may produce statements, quotations, attributions, or characterisations of identifiable real individuals or organisations that are inaccurate, outdated, satirical-in-form, taken out of context, or entirely fabricated. You agree not to publish, republish, distribute, share, or otherwise treat as factual any AI-generated statement about a real individual or organisation without independent verification from a primary source. Counteraxiom expressly disclaims all liability for any defamation, libel, slander, misrepresentation, or invasion-of-privacy claim arising from your use or distribution of AI outputs concerning real third parties.
No real-world decisions: You agree that you will not rely on the Service as the sole basis for any real-world decision with legal, financial, medical, professional, academic, safety-critical, or similarly consequential implications. The Service is intended for argument practice, critical-thinking development, and ideational exploration only.
Hallucination acknowledgement: You acknowledge that large language models can "hallucinate" — i.e. generate confident-sounding output that has no factual basis. By using the Service you accept this is an inherent and unavoidable characteristic of the underlying technology, and you assume all risk associated with relying on AI output.
6. Specialist Features — Critical Disclaimers
Certain features operate in contexts where AI outputs must not be treated as professional guidance. They are not, and must not be treated as such.
Interview Prep:
Interview Prep is a practice simulation tool and is not an actual hiring or assessment tool. It is not intended to be used by employers as an automated employment decision tool and does not produce evaluations for use in actual hiring decisions. Users in New York City are advised that use of AI in actual employment decisions is subject to NYC Local Law 144. The AI does not analyse or evaluate any biometric characteristics of the user.
Pitch Room:
Pitch Room is a practice and critical thinking tool for stress-testing presentations and business pitches. AI panel feedback is adversarial and generated for debate-preparation purposes only. It does not constitute business, strategic, investment, or commercial advice and must not be relied upon for any actual business decision, fundraising, or commercial negotiation.
Negotiation Trainer:
Negotiation Trainer is a practice simulation tool designed to develop negotiation skills through AI role-play. The AI counterparty is a simulated character, not a real party to any transaction. AI responses — including counteroffers, tactics, BATNA assessments, performance scores, and coaching feedback — are generated for educational and practice purposes only. They do not constitute legal, financial, employment, real estate, or commercial advice and must not be relied upon in any actual negotiation, transaction, or contractual matter. The tactic labels and debrief content are illustrative coaching outputs and do not represent a complete or authoritative analysis of any negotiation. Outcomes achieved in simulated sessions have no bearing on and provide no guarantee of outcomes in real-world negotiations.
By using any feature, you explicitly acknowledge its purely educational and practice-oriented nature and that Counteraxiom bears no responsibility for any real-world decision, action, loss, or harm arising from your reliance on its outputs.
7. Axiom Voice — Voice Data
Axiom Voice processes speech audio to provide speech-to-text transcription and AI voice output. By enabling Axiom Voice, you acknowledge and agree to the following:
- Your voice audio may be transmitted to third-party speech recognition services for transcription. The applicable provider and its privacy policy are disclosed in the Privacy Policy.
- Counteraxiom does not create persistent voice profiles, voiceprints, or biometric templates for the purpose of identifying you. Audio is processed transiently for transcription and is not retained beyond the session unless saved as part of a conversation transcript.
- Conversation transcripts derived from voice input are subject to the same retention and deletion terms as text-based conversations.
Illinois residents (BIPA): By enabling Axiom Voice, you provide your written consent to the collection and processing of your voice audio as described in these Terms and the Privacy Policy, consistent with the Illinois Biometric Information Privacy Act (740 ILCS 14/). Your voice data will not be sold or disclosed to third parties except as necessary to provide the Service (e.g., to a speech recognition API). Audio data will be destroyed within the timeframes specified in the Privacy Policy.
Texas residents (CUBI): By enabling Axiom Voice, you provide written consent to the collection of your voice audio for speech-to-text purposes under the Texas Capture or Use of Biometric Identifier Act (Tex. Bus. & Com. Code § 503.001). Voice data will be destroyed no later than one year after the purpose for which it was collected is fulfilled.
EU/UK residents (GDPR Art. 9): If voice data processed through Axiom Voice constitutes biometric data under GDPR Article 9 in your jurisdiction, your explicit consent is obtained at the point of enabling the feature. You may withdraw this consent at any time by disabling Axiom Voice in your settings; this does not affect processing carried out before withdrawal.
8. AI Memory — Cross-Session Context
AI Memory is an opt-in feature that is disabled by default. You can enable or disable it at any time in Settings → Profile → AI Memory.
How it works: When AI Memory is enabled, at the start of each new session, a structured summary of your prior session history (titles, scores, feature types, and dates) is read from your account and included in the AI model's system prompt. This gives the AI context about your practice history to inform coaching and responses. No additional data is collected; AI Memory reads session metadata that is already stored as part of normal Service operation.
What AI Memory does not do: AI Memory does not transmit your full conversation transcripts to future sessions. It provides a compact summary (titles, scores, dates) only. It does not create a persistent external profile and does not share your data with third parties beyond the standard AI provider routing used for all features.
Accuracy disclaimer: The memory summary injected into AI sessions is generated programmatically from your session records. The AI model may interpret, misinterpret, or inconsistently apply this context — Counteraxiom makes no warranty that AI Memory will produce coherent, accurate, or beneficial continuity. Memory-informed responses are subject to the same AI Output Disclaimer as all other AI outputs.
Disabling AI Memory: Disabling the toggle stops your session history from being read into future sessions. It does not delete your session history or Progress data.
No reliance: You must not rely on AI Memory continuity for any purpose beyond practice. The AI may not accurately recall, correctly characterise, or consistently apply prior session context. AI Memory is a coaching aid — not a record, evaluation, or professional assessment of any kind.
9. Progress Dashboard
The Progress Dashboard displays aggregated analytics derived from your scored session history — including overall score averages, per-feature averages, improvement trend analysis, and weak-area coaching suggestions. It is available to all account tiers.
Accuracy disclaimer: Progress scores reflect AI-generated assessments produced during individual sessions. They are not professionally validated assessments of competence, skill level, or aptitude and must not be represented as such. Trends, averages, and weak-area suggestions are computed from a limited dataset and may not accurately reflect your actual abilities. Do not rely on Progress Dashboard outputs for professional, academic, employment, or commercial decisions.
No comparative benchmarking: The Progress Dashboard shows only your own personal history. It does not compare your performance against other users in any identifiable way, and no individual user's data is exposed to or benchmarked against other users.
Data basis: Progress data is derived from sessions you have completed on the platform. Historical sessions completed before enabling Progress tracking may be included in calculations if the relevant data was captured during those sessions.
10. Academic Use Policy
Counteraxiom is a critical thinking, debate practice, and learning tool. You are responsible for ensuring your use of the Service complies with your institution's academic integrity policies, honour codes, and any applicable regulations.
Prohibited academic uses: You may not submit AI-generated content from this platform as your own original work in academic assessments, examinations, or submissions where the use of AI assistance is prohibited. Counteraxiom is not a contract cheating service and must not be used as one.
Attribution: Where AI-assisted work is permitted, you are responsible for attributing Counteraxiom outputs appropriately in accordance with your institution's citation requirements.
FERPA (institutional use): If you are an educational institution deploying the Classroom tool, you may be required to enter into a Data Processing Agreement with Counteraxiom before using the tool with students. Contact legal@counteraxiom.com to obtain a FERPA-compliant DPA. Users must not upload other students' education records or personally identifiable information.
11. Accounts
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate and complete information when registering.
You may not share your account, sell or transfer access, or create multiple accounts to circumvent usage limits. We reserve the right to suspend or terminate accounts that violate these Terms, without notice and without refund.
12. Acceptable Use & Prohibited Conduct
You agree not to use the Service to:
- Generate, distribute, or promote content that is illegal, harmful, threatening, abusive, defamatory, or harassing
- Generate false statements of fact about identifiable real individuals or organisations, whether or not framed as AI counter-arguments
- Produce content that infringes any patent, trademark, copyright, trade secret, or other intellectual property right
- Facilitate or encourage violence, self-harm, terrorism, or illegal activities
- Generate sexual content involving minors (CSAM) — strictly prohibited and will be reported to authorities
- Attempt to manipulate, jailbreak, or circumvent the AI's safety guidelines, content filters, or system prompts
- Transmit sensitive personal data (social security numbers, medical records, financial account credentials, passwords) in your messages
- Submit real confidential legal documents, client data, or privileged materials to any Counteraxiom tool
- Use the Service to cheat in academic examinations or submit AI-generated work as your own in contexts that prohibit it
- Impersonate any real individual using the AI, including in Interview Prep scenarios
- Scrape, crawl, or extract data from the Service by automated means without our prior written permission
- Reverse engineer, decompile, disassemble, or attempt to extract source code from the Service
- Resell, sublicense, or provide access to the Service as a standalone product to third parties
- Use the Service in any manner that could damage, disable, overburden, or impair our servers or infrastructure
We reserve the right to remove content and suspend or terminate accounts that violate these prohibitions, at our sole discretion, without notice and without refund.
13. Ownership of AI-Generated Content
User content: You retain ownership of the content, prompts, and arguments you submit to the Service.
AI-generated outputs (US law): Under current U.S. Copyright Office guidance, AI-generated content produced without sufficient human creative authorship is not copyrightable. Counteraxiom does not claim copyright ownership in AI-generated counter-arguments, responses, or analyses under U.S. law.
AI-generated outputs (UK law): Under the UK Copyright, Designs and Patents Act 1988 s.9(3), copyright in computer-generated works may vest in the person who made the arrangements necessary for the creation of the work. The copyright status of AI outputs may therefore differ under UK law.
No copyright warranty: The platform makes no representation that AI-generated outputs are copyright-free in any jurisdiction. If you incorporate AI-generated content into works you intend to publish, register, or distribute commercially, you should seek independent legal advice on copyright status in your jurisdiction.
Web content in AI responses: When web search is enabled, AI responses may incorporate summarised or paraphrased third-party content from public web sources. Such content may be subject to third-party copyright. You may not redistribute AI-generated content that incorporates third-party material without appropriate rights clearance.
14. User Content & License
You retain ownership of the content you submit to the Service ("User Content"), including messages, file attachments, and documents uploaded to any specialist tool. By submitting User Content, you grant Counteraxiom a non-exclusive, royalty-free, worldwide license to use, store, process, and transmit your User Content solely to provide the Service.
You represent and warrant that you own or have the necessary rights to submit your User Content, that it does not violate any third-party rights or applicable laws, and that you are not submitting confidential, privileged, or personally identifiable information belonging to third parties without their consent.
We do not use your User Content to train AI models.
15. Copyright & DMCA
Counteraxiom respects intellectual property rights and expects users to do the same. We have designated a DMCA agent with the U.S. Copyright Office under 17 U.S.C. § 512. Copyright infringement claims may be submitted to:

Takedown notices (17 U.S.C. § 512(c)(3)): To submit a valid DMCA takedown notice, your written notice must include: (1) a physical or electronic signature of the copyright owner or authorised agent; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and its location on the platform; (4) your contact information; (5) a statement of good-faith belief that the use is not authorised by the copyright owner; and (6) a statement, under penalty of perjury, that the information is accurate and you are authorised to act.
Counter-notices (17 U.S.C. § 512(g)): If you believe material was removed in error, you may submit a counter-notice containing: (1) your signature; (2) identification of the removed material and its former location; (3) a statement under penalty of perjury that the removal was by mistake or misidentification; and (4) your name, address, telephone number, and consent to jurisdiction of the federal court in your district. We will restore the material within 10–14 business days of receiving a valid counter-notice unless the copyright owner files a court action.
Repeat infringers: We will terminate the accounts of users who are repeat copyright infringers in appropriate circumstances, consistent with 17 U.S.C. § 512(i).

16. Subscription, Billing & Refunds
Counteraxiom offers the following subscription plans: Free ($0 USD/mo), Pro ($14.99 USD/mo), and Max ($29.99 USD/mo). Extra Usage top-up packs ($2.99 USD each, up to 10 packs per transaction) are also available as one-time purchases; credits are applied immediately and do not expire. Paid subscriptions are billed monthly and will automatically renew at the applicable rate unless cancelled before the renewal date. By subscribing to a paid plan, you authorise us to charge your payment method via our payment processor (Polar).
Cancellation: You may cancel your subscription at any time from Settings → Profile → Manage Subscription. Cancellation takes effect at the end of the current billing period; you retain access until then. The cancellation mechanism is available online — you are not required to contact support to cancel. Extra Usage top-up packs are non-refundable one-time purchases; credits are applied to your account immediately and do not expire.
EU right of withdrawal: If you are an EU consumer, you have a 14-day right of withdrawal from your subscription under Directive 2011/83/EU, Art. 9. This right is waived if you expressly consent to immediate access to the Service and acknowledge the loss of the withdrawal right at the time of purchase — which is obtained by checkbox at checkout. If no such consent was obtained, you may withdraw within 14 days and receive a full refund by contacting support@counteraxiom.com.
UK right to cancel: If you are a UK consumer, you have a 14-day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (SI 2013/3134), Reg. 29. This right is waived if you request immediate access and acknowledge the loss of the cancellation right at checkout. Your statutory rights under the Consumer Rights Act 2015 are not affected by these Terms.
Refunds: Outside of the statutory withdrawal periods described above, we do not provide refunds for partial billing periods, except as described in our Refund Policy.
Plan features and pricing are subject to change with 30 days' notice. Continued use of the Service after the notice period constitutes acceptance of updated pricing or features.
17. Intellectual Property
The Counteraxiom name, logo, product design, feature names (including Cypher, Veritas, Paradox, Axiom Voice, Pitch Room, Classroom, Interview Prep, Negotiation Trainer, and others), and all underlying software, systems, and content are the intellectual property of Counteraxiom and are protected by copyright, trademark, and other applicable laws. Nothing in these Terms grants you any right to use Counteraxiom's trademarks, logos, branding, or proprietary feature names without our prior written consent.
18. No Advisory Relationship
The Service does not create, and shall not be construed to create, any professional advisory relationship of any kind — including investment advisory, attorney-client, solicitor-client, or accountant-client — between Counteraxiom and any user.
All AI outputs are generated for debate practice and critical thinking purposes only. Nothing generated by the Service constitutes legal, financial, investment, medical, or any other form of professional advice. No fiduciary duty of any kind is owed by Counteraxiom to any user.
19. AI Output Limitations & Third-Party Providers
All outputs generated by the Service are produced by automated artificial intelligence systems and may contain errors, hallucinations, outdated information, omissions, or internal inconsistencies. The Service uses third-party AI providers (including Anthropic and others via OpenRouter, and Groq for voice transcription). AI outputs reflect the capabilities and limitations of those underlying models. Counteraxiom does not control and is not responsible for underlying model outputs.
Sub-processors: In addition to AI providers, the Service relies on the following sub-processors to operate: Vercel (application hosting), Neon (managed PostgreSQL database hosting in the US), Polar (payment processing), Resend (transactional email delivery), and PostHog (product analytics — page views, signups, feature usage; no conversation content). All sub-processors operate from the United States. See our Privacy Policy for full details.
AI system disclosure (EU AI Act Art. 50): You are interacting with an automated AI system, not a human. Counteraxiom maintains human oversight of its AI deployment and configuration.
California ADMT notice: Counteraxiom's platform uses automated decision-making technologies (ADMT) to route your inputs to AI models. This automated routing does not produce significant decisions affecting your legal rights. You may contact legal@counteraxiom.com to request information about the ADMT logic or to opt out of profiling, consistent with California Privacy Protection Agency regulations.
20. Data Uploads & Document Indemnity
Certain tools allow you to upload documents, invoices, contracts, CV files, pitch decks, or other files. By uploading any document to the Service, you represent and warrant that:
- You have lawful authority to share the contents of that document with Counteraxiom for processing;
- The document does not contain third-party personal data that you are not authorised to share;
- The document is not subject to legal privilege, confidentiality obligations, or regulatory restrictions that would prohibit its disclosure to a third-party AI platform;
- You will not upload real client data, privileged legal materials, classified information, or sensitive personal data belonging to third parties without appropriate authorisation and safeguards.
You agree to indemnify Counteraxiom against any claims arising from your violation of these representations. Uploaded data is processed solely to generate analysis. Counteraxiom does not use uploaded documents to train AI models.
21. Jurisdictional Notice
The Service is operated by Counteraxiom, a Delaware corporation. Access by users in the United Kingdom, European Union, and other jurisdictions is subject to applicable local law.
UK users: Nothing in these Terms limits your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable UK consumer protection law. The UK Online Dispute Resolution platform is available via the Citizens Advice website.
EU users: Nothing in these Terms limits your statutory rights as a consumer under applicable EU consumer protection law, including Directive 2011/83/EU and the Omnibus Directive (2019/2161/EU). The EU Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr. Where the EU AI Act (Regulation (EU) 2024/1689) applies, Counteraxiom complies with applicable transparency and disclosure obligations.
German users: A cancellation button (Kündigungsschaltfläche) compliant with the Gesetz für faire Verbraucherverträge is provided in your account Settings.
22. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OF AI OUTPUTS, ACCURACY OF AI-GENERATED CITATIONS, OR UNINTERRUPTED SERVICE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, FREE OF HALLUCINATIONS, OR AVAILABLE AT ALL TIMES. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. STATUTORY RIGHTS THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW (INCLUDING THE UK CONSUMER RIGHTS ACT 2015 AND EU CONSUMER PROTECTION DIRECTIVES) ARE NOT AFFECTED BY THIS DISCLAIMER.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COUNTERAXIOM AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY AI-GENERATED CONTENT, RELIANCE ON SPECIALIST TOOL OUTPUTS, RELIANCE ON AI-GENERATED CITATIONS, OR ACADEMIC OR PROFESSIONAL CONSEQUENCES OF ANY KIND, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR USD $100, WHICHEVER IS GREATER. THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, AND STATUTORY RIGHTS OF CONSUMERS IN THE UK AND EU ARE NOT AFFECTED BY THESE LIMITATIONS.
24. Indemnification
You agree to indemnify, defend, and hold harmless Counteraxiom and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your reliance on any AI-generated output for any real-world decision; (e) your infringement of any third-party rights, including copyright; or (f) your use of the platform to generate content targeting real third parties in violation of these Terms.
25. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms, non-payment, or at our sole discretion. You may close your account at any time using the in-app account deletion feature or by contacting support@counteraxiom.com. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, AI Output Disclaimer, Specialist Tools Disclaimers, indemnification obligations, and limitations of liability.
26. Governing Law, Arbitration & Class Action Waiver
Governing law: These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Informal resolution (required first step): Before filing any formal claim, you agree to contact us at legal@counteraxiom.com with a description of the dispute and a proposed resolution, and to negotiate in good faith for at least sixty (60) days.
Binding individual arbitration: Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Counteraxiom — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted by a single arbitrator. The seat of arbitration shall be Wilmington, Delaware, and proceedings may be held by video or telephone. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction. THE PARTIES HEREBY KNOWINGLY WAIVE THE RIGHT TO A JURY TRIAL.
Class action waiver: You and Counteraxiom each agree that any dispute will be brought in an individual capacity only, and NOT as a plaintiff or class member in any purported class, collective, consolidated, mass, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding. If this class action waiver is found unenforceable as to any claim, that claim shall be severed and adjudicated in court while the remaining claims continue in arbitration.
Carve-outs: Notwithstanding the above, either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to stop unauthorised use of the Service.
30-day opt-out: You may opt out of the arbitration and class action waiver provisions of this Section by sending written notice to legal@counteraxiom.com within thirty (30) days of first accepting these Terms, stating your name, account email, and a clear statement that you opt out of arbitration. Opting out does not affect any other provision of these Terms.
Time limit on claims: Any claim arising out of or related to these Terms or the Service must be filed within ONE (1) YEAR after the claim arose, except where applicable law prohibits such a contractual limitations period. Claims filed later are permanently barred.
EU / UK / consumer carve-out: Nothing in this Section limits your non-waivable statutory rights as a consumer under EU, UK, or other applicable consumer protection law, including your right to bring proceedings in your local courts and your access to consumer protection authorities. The EU Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr. Where mandatory local law prohibits binding arbitration or class action waivers, those provisions do not apply to you to the extent of that prohibition.
27. Miscellaneous
Force majeure: Counteraxiom is not liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government action, pandemics, internet outages, third-party infrastructure failures (including outages of AI providers, payment processors, email providers, or hosting infrastructure), cyberattacks, denial-of-service attacks, and labour disputes.
Severability: If any provision of these Terms is held to be unenforceable, illegal, or invalid by a court of competent jurisdiction or an arbitrator, that provision shall be modified to the minimum extent necessary to make it enforceable, or — if not possible — severed, while the remaining provisions remain in full force and effect.
No waiver: Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. No waiver of any term shall be deemed a continuing waiver.
Assignment: You may not assign, transfer, or sublicense these Terms or your account without our prior written consent; any attempt to do so is void. We may freely assign these Terms and our rights hereunder, including in connection with a merger, acquisition, sale of assets, or by operation of law.
Entire agreement: These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, and any other policies or notices we publish on the Service, constitute the entire agreement between you and Counteraxiom regarding the Service and supersede all prior agreements, representations, and understandings.
Relationship of parties: Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Counteraxiom.
Electronic communications & notices: By creating an account you consent to receive electronic communications from us (including legally required notices) at the email address on file. You may withdraw consent by closing your account; withdrawal terminates your right to use the Service. Notices to us must be sent to legal@counteraxiom.com.
No reliance: You acknowledge that, in agreeing to these Terms, you have not relied on any statement, representation, assurance, or warranty made by Counteraxiom or any third party other than those expressly set out in these Terms.
Headings: Section headings are for convenience only and have no legal effect.
Language: These Terms are drafted in English. Any translation provided is for convenience only; the English version controls in case of conflict, except where local law requires otherwise.
28. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by updating the effective date at the top of this page and, where appropriate, by email or in-app notice. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
